Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Safepiens platform, website, and related services (collectively, the "Service") operated by Safepiens, NIPT M21704029F, located at Rruga Ferit Xhajko, Tiranë, Albania ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Definitions

  • "Account" means a registered user account on the Service.
  • "Customer" means the organization or individual that subscribes to the Service.
  • "User" means any individual who accesses the Service through a Customer's account, including administrators and employees.
  • "Customer Data" means all data submitted to the Service by or on behalf of the Customer, including employee records, attendance data, and organizational information.
  • "Service" means the Safepiens platform and all related tools, features, and documentation.

2. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

3. Description of Service

Safepiens is a cloud-based people and business management platform that provides tools for employee management, attendance tracking, work activity monitoring, project management, organizational structure management, and related workforce and business management capabilities.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

4. Account Registration and Security

To use the Service, you must register for an account and provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Notifying us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be compromised.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Service to store or process data in violation of applicable laws, including data protection and employment laws.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or disassemble any aspect of the Service.
  • Use the Service to transmit malicious software or harmful content.
  • Resell, sublicense, or make the Service available to third parties without our written consent.

6. Customer Data and Ownership

You retain all rights, title, and interest in your Customer Data. By using the Service, you grant us a limited license to process your Customer Data solely for the purpose of providing and improving the Service.

We will not access, use, or disclose Customer Data except as necessary to provide the Service, comply with legal obligations, or as otherwise authorized by you.

You are responsible for ensuring that you have all necessary rights and consents to submit Customer Data to the Service, particularly where it includes personal data of employees or other individuals.

7. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection legislation, including the General Data Protection Regulation (GDPR) where applicable.

Where the Customer acts as a data controller and we act as a data processor, both parties agree to comply with their respective obligations under applicable data protection laws. A separate Data Processing Agreement may be entered into upon request.

8. Service Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control.

9. Intellectual Property

The Service, including its design, code, features, documentation, trademarks, and all related intellectual property, is owned by Safepiens. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

10. Fees and Payment

Access to certain features of the Service may require payment of fees. All fees are specified at the time of subscription and are non-refundable unless otherwise stated.

We reserve the right to modify our pricing with at least 30 days' prior notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

11. Termination

Either party may terminate this agreement at any time by providing written notice. Upon termination:

  • Your access to the Service will be revoked.
  • You may request export of your Customer Data within 30 days of termination.
  • After 30 days, we may delete all Customer Data from our systems in accordance with our data retention policies.

We may immediately suspend or terminate your access if you violate these Terms or if required by law.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Safepiens shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service.

Our total aggregate liability under these Terms shall not exceed the amount paid by you for the Service in the twelve (12) months preceding the event giving rise to liability.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will meet your specific requirements, be uninterrupted, timely, secure, or error-free.

14. Indemnification

You agree to indemnify and hold Safepiens harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

15. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, where practicable, by email. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Albania. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Tiranë, Albania.

Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
